1. Acceptance of Terms

By downloading, accessing, or using Kairos Calendar ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. Your use of the Service constitutes your acceptance of these Terms and our Privacy Policy.

2. Description of Service

Kairos Calendar is an AI-powered scheduling assistant that reads your email, direct messages, and voicemail transcripts to extract calendar events automatically. The Service includes event extraction, conflict detection, daily briefings, travel routing, and calendar management features. Certain features are available only with a paid subscription (Kairos Pro or Kairos Team).

3. Eligibility & Account

• You must be at least 13 years old (16 in the EU) to use the Service.
• You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
• You agree to provide accurate information when registering and to keep it current.
• One account per person. Sharing accounts is prohibited.

4. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any local, state, national, or international law.
• Attempt to access another user's data, accounts, or messages without authorization.
• Reverse engineer, decompile, or disassemble any part of the Service.
• Resell, sublicense, or redistribute access to the Service without our written consent.
• Use the Service to send spam, malware, or any malicious content.
• Interfere with or disrupt the Service's servers, security, or infrastructure.
• Connect accounts that you do not own or have permission to access.

5. Subscriptions & Payments

• Free tier: Limited to 3 AI extractions per feature per day, basic conflict detection, and daily brief access.
• Kairos Pro: $12.99/month or $129/year. Includes unlimited extractions, advanced conflict detection, travel routing, custom rules, and priority AI processing.
• Kairos Team: $29.00/month or $290/year. Includes all Pro features plus shared scheduling and admin controls.
• Billing: Subscriptions are billed through Stripe (web) or Apple/Google in-app purchase (mobile). Payment is charged at confirmation of purchase.
• Auto-renewal: Subscriptions automatically renew unless auto-renew is turned off at least 24 hours before the end of the current period.
• Cancellation: You can cancel anytime. Cancellation takes effect at the end of the current billing period. No refunds for partial periods.
• Free trial: A 7-day free trial may be offered. If not cancelled before the trial ends, your subscription begins and you are billed for the first period.

6. Third-Party Integrations

The Service connects to third-party platforms (Google, Microsoft, Slack, WhatsApp, Telegram, and others) via official OAuth 2.0. You are responsible for ensuring you have the right to connect these accounts. Your use of third-party services is also governed by their respective terms and policies. We may revoke or lose access to a third-party service if the provider changes its API or terms, and we are not liable for any resulting loss of functionality.

7. AI Processing & Accuracy

• The Service uses AI to extract event details from your messages. AI-generated results may contain errors or omissions.
• You are responsible for reviewing and approving all extracted events before they are added to your calendar.
• We do not guarantee that extracted events are accurate, complete, or timely. Always verify important scheduling details independently.
• You should not rely solely on the Service for critical appointments, legal deadlines, or time-sensitive commitments.

8. User Content

You retain ownership of your data, including messages, calendar events, and account information. By using the Service, you grant us a limited license to process your message content solely for the purpose of extracting event details and providing the Service's features. We do not use your personal data to train AI models.

9. Intellectual Property

The Service, including its design, branding, and software, is owned by Kairos Calendar and protected by intellectual property laws. These Terms do not grant you any right to use our trademarks, logos, or branding. Feedback and suggestions you provide may be used by us without obligation or compensation.

10. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that the Service will be uninterrupted, error-free, secure, or that extracted events will be accurate. Your use of the Service is at your sole risk.

11. Limitation of Liability

To the maximum extent permitted by law, Kairos Calendar and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or business, arising out of or related to your use of the Service. Our total liability for any claim shall not exceed the amount you paid us in the 12 months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless Kairos Calendar and its affiliates from any claims, damages, or expenses (including legal fees) arising from your use of the Service, your violation of these Terms, or your infringement of any third-party rights.

13. Account Termination

• You may delete your account at any time from Settings, which permanently removes your data.
• We may suspend or terminate your account if you violate these Terms or engage in harmful activity.
• Upon termination, your right to use the Service ends immediately. No refunds are provided for terminated accounts due to violations.

14. Changes to Terms

We may update these Terms from time to time. We will notify you of significant changes by posting the updated Terms in the app and updating the "Last updated" date. Your continued use of the Service after changes constitutes acceptance of the revised Terms.

15. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict of law principles. Any disputes shall be resolved in the courts located in San Francisco County, California.
